Service Engagement Terms
Engagement Process
Consulting services begin upon execution of a formal engagement letter specifying scope, timeline, deliverables, and fees. Website inquiries do not constitute binding agreements.
Professional Standards
We provide services consistent with professional consulting standards. While we conduct thorough analysis, recommendations represent our professional judgment based on available information and do not constitute guarantees of outcomes.
Client Responsibilities
Clients agree to provide timely access to information, personnel, and facilities necessary for engagement completion. Delays caused by client unavailability may extend timelines and affect fees.
Payment Terms
Currency and Pricing
All fees are quoted in Canadian Dollars (CAD) unless otherwise specified. Prices listed on our website are subject to change without notice. Engagement letters specify binding fees for contracted services.
Payment Schedule
Payment terms are specified in engagement letters. Typical arrangements include deposits upon engagement commencement and milestone payments throughout the project. Final deliverables may be withheld until full payment is received.
Accepted Methods
We accept payment by check, bank transfer, and credit card. Processing fees may apply to certain payment methods.
Late Payment
Invoices are due within 30 days of issuance unless otherwise specified. Late payments may incur interest charges at a rate of 1.5% per month or the maximum permitted by law, whichever is lower.
Taxes
Quoted fees exclude applicable taxes (GST/HST). Tax amounts will be added to invoices as required by Canadian tax legislation.
Cancellation and Refunds
Client Cancellation
Clients may cancel engagements with written notice. Cancellation terms are specified in engagement letters and typically include payment for work completed plus reimbursement of incurred expenses.
Refund Policy
Deposits are generally non-refundable but will be credited toward services performed. Refunds for uncompleted work are calculated based on hours invested and expenses incurred.
Our Cancellation Rights
We reserve the right to terminate engagements if clients fail to meet obligations, including timely payment or provision of necessary access and information. In such cases, fees for completed work remain due.
Confidentiality
We maintain strict confidentiality regarding client information and engagement details. Specific confidentiality terms are outlined in engagement letters and non-disclosure agreements.
Clients agree to maintain confidentiality of our methodologies, tools, and proprietary approaches shared during engagements.
Disclaimers and Limitations
Service Provision
Consulting services and website content are provided "as is" without warranties of any kind, express or implied. We do not warrant that recommendations will achieve specific outcomes or that our website will be error-free or uninterrupted.
No Guarantees
While we apply professional expertise and rigorous analysis, business outcomes depend on numerous factors beyond our control. We do not guarantee specific results from implementation of recommendations.
Liability Limitations
To the maximum extent permitted by law, Mosaic Partners' total liability for any claims arising from services or website use shall not exceed the fees paid for the specific engagement giving rise to the claim.
We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, revenue, or business opportunities, even if advised of such possibility.
Client Decisions
Clients retain full responsibility for business decisions and their implementation. Our recommendations provide input for decision-making but do not replace management judgment.
Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, pandemics, government actions, or infrastructure failures. Affected timelines will be extended reasonably.
Termination
Either party may terminate services according to terms specified in engagement letters. Termination does not relieve clients of payment obligations for work completed.
We may immediately suspend or terminate website access for violations of these terms or illegal activities.
Dispute Resolution
Informal Resolution
Parties agree to first attempt informal resolution of disputes through good faith negotiations.
Mediation
If informal resolution fails, disputes will proceed to mediation before a mutually agreed mediator in Edmonton, Alberta.
Governing Law and Jurisdiction
These Terms and Conditions are governed by the laws of Alberta and Canada. Parties submit to the exclusive jurisdiction of courts in Edmonton, Alberta for any legal proceedings.
Limitation Period
Claims must be brought within one year of the circumstances giving rise to the claim.
General Provisions
Entire Agreement
These terms, together with engagement letters and referenced policies, constitute the entire agreement between parties regarding website use and services.
Severability
If any provision is found unenforceable, remaining provisions continue in full effect.
No Waiver
Failure to enforce any provision does not constitute waiver of that provision or others.
Assignment
You may not assign rights or obligations under these terms without our written consent. We may assign our rights and obligations with notice.
Notices
Official notices must be provided in writing to addresses specified in engagement letters or to [email protected].
Updates to Terms
